These Terms and Conditions govern access to and use of Navi Mumbai Property Deals, including its website, mobile interfaces, applications, dashboards, property-listing services, Broker2Broker services, courses, calculators, enquiry forms, communication tools and related services.
Please read these Terms carefully before using the Platform.
1. Introduction and Acceptance
Navi Mumbai Property Deals is operated by [LEGAL ENTITY NAME], a [ENTITY TYPE] registered under the laws of India, having its registered office at [REGISTERED OFFICE ADDRESS] and registration number [REGISTRATION NUMBER].
In these Terms, the legal entity operating Navi Mumbai Property Deals may be referred to as âNavi Mumbai Property Deals,â âNMPD,â âwe,â âusâ or âour.â
By accessing the Platform, creating an account, submitting an enquiry, posting a property, uploading content, enrolling in a course, communicating with another User or otherwise using any part of the Platform, you confirm that:
- you have read and understood these Terms;
- you agree to be legally bound by these Terms and our Privacy Policy;
- you have the legal capacity and authority to enter into this agreement; and
- where you act for a company, developer, brokerage, property owner or other organisation, you are authorised to bind that organisation.
If you do not agree to these Terms, you must not use the Platform.
Certain services may be governed by additional terms, payment conditions, campaign terms, subscription conditions or written agreements. Where additional terms conflict with these Terms, the additional terms will apply to that specific service.
2. Definitions
For these Terms:
2.1 âPlatformâ
âPlatformâ means navimumbaipropertydeals.com and any related website, application, mobile interface, dashboard, communication service, course portal, social channel or digital service operated under the Navi Mumbai Property Deals brand.
2.2 âUserâ
âUserâ means any person or organisation that visits, accesses, registers on or uses the Platform.
2.3 âBuyerâ
âBuyerâ includes a person looking to purchase, rent, lease, license, invest in or otherwise acquire an interest in a property.
2.4 âOwnerâ
âOwnerâ means a person who claims to own, control, possess, manage or be authorised to offer a property.
2.5 âBrokerâ or âAgentâ
âBrokerâ or âAgentâ means a real-estate agent, channel partner, consultant, broker, intermediary or similar professional who lists properties, posts requirements, receives enquiries or facilitates real-estate transactions.
2.6 âDeveloperâ
âDeveloperâ means a promoter, builder, landowner, project developer, authorised marketing agency or their duly authorised representative.
2.7 âListerâ
âListerâ means any Owner, Broker, Agent, Developer or other User who posts, submits, supplies or authorises a Listing.
2.8 âListingâ
âListingâ means any property, project, inventory, requirement, advertisement, offer, profile, photograph, video, document, price, specification or related information submitted to or displayed on the Platform.
2.9 âEnquiryâ
âEnquiryâ means a request for information, callback, site visit, contact, quotation, consultation, loan assistance or other communication submitted through the Platform.
2.10 âContentâ
âContentâ includes text, photographs, videos, floor plans, brochures, documents, logos, reviews, ratings, comments, messages, course materials and other information submitted to or displayed through the Platform.
2.11 âVerifiedâ or âCheckedâ
Unless expressly stated otherwise, âVerified,â âChecked,â âDocument-Checked,â âRERA-Checkedâ or similar wording means only that NMPD has performed the limited verification steps specifically described on the relevant page or badge.
Such wording does not constitute:
- a guarantee of ownership or marketable title;
- a legal title certificate;
- a structural, technical or financial audit;
- a government approval;
- confirmation that all documents are genuine, current or complete;
- a guarantee that a User will perform their obligations; or
- a substitute for independent legal and technical due diligence.
3. Eligibility
You must be at least eighteen years old and legally competent to contract under Indian law to create an account, submit a Listing, submit an Enquiry or enter into a transaction through the Platform.
The Platform is not intended to facilitate property transactions by minors.
By using the Platform, you represent that:
- the information supplied by you is true and complete;
- you are not prohibited by law from using the Platform;
- your account has not previously been suspended for fraud or serious misconduct; and
- you will comply with all laws applicable to your role and activities.
4. Account Registration and Security
4.1 Registration methods
Users may be permitted to register through:
- email address and password;
- mobile number and OTP verification;
- Google or another approved third-party sign-in service; or
- another authentication method introduced by NMPD.
4.2 Accurate information
You must provide accurate, current and complete registration information and update it when it changes.
You must not:
- impersonate another person;
- create an account using false credentials;
- register with a mobile number or email address that you do not control;
- create multiple accounts to evade restrictions;
- falsely claim to be an Owner, Broker, Developer or authorised representative; or
- use another Userâs account without permission.
4.3 Account security
You are responsible for:
- maintaining the confidentiality of your credentials;
- securing devices on which you remain signed in;
- all activity conducted through your account; and
- notifying us promptly of unauthorised access.
We may treat actions performed through a properly authenticated account as authorised by the account holder unless we have received notice of compromise.
4.4 One primary account
Unless expressly permitted for business teams or organisations, one person should maintain only one primary account.
We may merge, restrict or suspend duplicate, fraudulent or misleading accounts.
4.5 User roles
Accounts may be assigned roles such as:
- User or Buyer;
- Owner;
- Broker or Agent;
- Developer;
- Course Creator;
- Moderator; or
- Administrator.
A role, badge or verification status may be granted, denied, changed or withdrawn based on our verification standards.
A role or badge is not an endorsement, licence, guarantee of competence or guarantee of lawful conduct.
5. Nature of the Platform
5.1 Marketplace and information platform
NMPD provides a technology and information platform through which Users may:
- search for properties;
- publish or view Listings;
- connect with Owners, Agents and Developers;
- submit and receive Enquiries;
- post real-estate requirements or inventory;
- access educational content and courses;
- use calculators and property tools; and
- access related services.
Unless NMPD has entered into a separate written engagement expressly stating otherwise, NMPD is not:
- a party to a sale, lease, leave-and-license, booking, allotment or brokerage agreement;
- the owner, promoter, developer, landlord, tenant, purchaser or seller of a property;
- an escrow agent or trustee;
- a bank, non-banking financial company or lender;
- a law firm, title investigator, chartered accountant, architect or structural engineer; or
- responsible for fulfilling a transaction between Users.
5.2 No automatic agency relationship
Use of the Platform does not by itself create an agency, partnership, fiduciary, employment, franchise or joint-venture relationship between NMPD and any User.
Where NMPD separately provides brokerage, consultancy, marketing, verification or transaction-assistance services, those services may be subject to a separate written mandate, fee agreement or service agreement.
5.3 Transactions are between Users
Users are responsible for independently negotiating and documenting:
- property price or rent;
- brokerage and commission;
- deposits and advances;
- title and ownership;
- possession;
- statutory approvals;
- taxes and charges;
- loan terms;
- agreement terms;
- registration;
- stamp duty;
- society or authority permissions; and
- all other transaction conditions.
NMPD does not guarantee that any transaction, Enquiry, connection, site visit or negotiation will result in a successful deal.
6. Listings and Add-Property Rules
6.1 Who may list
Properties may be listed by Users who are lawfully entitled or duly authorised to market or offer them, including Owners, registered Agents and authorised Developer representatives.
We may require verification documents before or after publishing a Listing.
6.2 Lister representations
By submitting a Listing, the Lister represents and warrants that:
- the Lister is the lawful owner or has valid authority to list the property;
- the Listing is accurate, current and not materially misleading;
- the property is legally capable of being offered in the stated manner;
- all required approvals, registrations and permissions have been obtained;
- the stated area, price, rent, deposit, possession status and availability are accurate;
- photographs, videos and documents relate to the actual property or are clearly identified as representative;
- the Listing does not conceal material defects or legal restrictions known to the Lister;
- the Listing does not infringe intellectual-property, privacy or publicity rights;
- the contact details supplied may lawfully be used for the Listing; and
- the Listing complies with applicable RERA, municipal, planning, consumer-protection, advertising, taxation and other legal requirements.
6.3 Listing updates
The Lister must promptly update or remove a Listing when:
- the property is sold, rented, withdrawn or no longer available;
- the price, rent or material terms change;
- the Listerâs authority expires;
- any approval, registration or licence is suspended or cancelled;
- the property becomes subject to a dispute, attachment, acquisition or material restriction; or
- information in the Listing becomes inaccurate.
6.4 Images and media
A User uploading photographs, videos, plans, brochures, logos or documents confirms that:
- the User owns the material or has permission to use it;
- identifiable persons shown have consented where required;
- the material does not reveal confidential or sensitive information unlawfully;
- images are not materially manipulated to misrepresent the property;
- watermarks and branding do not falsely indicate ownership or affiliation; and
- the material does not contain malware, prohibited content or unauthorised third-party data.
Users must not upload unredacted Aadhaar numbers, PAN details, bank account information, signatures, access codes, private agreements or other sensitive documents into public Listing fields.
6.5 Moderation
We may use automated systems and manual review to identify:
- spam;
- duplicate Listings;
- profanity;
- suspicious prices;
- copied images;
- prohibited content;
- potentially fraudulent claims; and
- other policy violations.
Automated systems may produce false positives or fail to detect certain violations.
We may, without assuming responsibility for the Listing:
- request clarification or evidence;
- correct formatting, spelling or categorisation;
- add warnings or labels;
- temporarily hide a Listing;
- reject or remove a Listing;
- limit its visibility;
- disable contact information;
- suspend the responsible account; or
- report suspected unlawful activity.
We will not intentionally make a material factual change to a Listing without a reasonable basis. The Lister remains responsible for the accuracy of the Listing after formatting or moderation.
6.6 No guaranteed publication or ranking
Submission of a Listing does not guarantee:
- publication;
- approval;
- a particular search position;
- a minimum number of views;
- Enquiries;
- site visits;
- leads;
- sales;
- rentals; or
- transaction closure.
Search ranking may depend on relevance, recency, completeness, verification, user behaviour, quality, location, subscription status and other factors.
7. RERA and Regulatory Compliance
7.1 Lister responsibility
Promoters, Developers, Agents and other Listers are responsible for determining and complying with their obligations under:
- the Real Estate (Regulation and Development) Act, 2016;
- applicable state rules and regulations;
- MahaRERA directions and circulars;
- municipal and planning laws;
- CIDCO, NMMC, PMC, NAINA, MIDC or other authority requirements; and
- applicable advertising and consumer-protection laws.
7.2 Project registration details
Where a project is required to be registered, the Lister must provide:
- the correct RERA registration number;
- promoter and project details;
- disclosures required for advertisements;
- QR code or other information required by the competent authority; and
- accurate registration status.
The Lister must not advertise, market, book, sell or invite investment in an unregistered project where registration is legally required.
7.3 Agent registration
A Broker or Agent must hold and maintain any registration required for the activity being undertaken and must provide its valid registration number where legally required.
7.4 Platform checks
NMPD may check information against publicly available regulatory databases or documents provided by Users. Such checks may be limited by:
- delayed regulatory updates;
- incorrect third-party data;
- forged documents;
- changed project status;
- incomplete records; and
- the scope of the check performed.
NMPD does not certify title or guarantee regulatory compliance merely because a Listing has been published or marked checked.
7.5 Non-RERA and exempt properties
Educational content discussing non-RERA, exempt, resale, completed, rental, plot or other categories is general information only.
The absence of a RERA registration number does not by itself prove illegality, because legal exemptions or a different regulatory treatment may apply. Conversely, a claim of exemption does not prove that the property is legally compliant.
Users must obtain independent professional advice before paying a token, advance, booking amount, deposit or other consideration.
8. Verification, Due Diligence and User Responsibility
Before entering into a transaction, Users should independently verify, as applicable:
- ownership and chain of title;
- encumbrances and litigation;
- authority of the person offering the property;
- sanctioned plans;
- commencement and occupation certificates;
- RERA registration and disclosures;
- property tax and maintenance dues;
- society or association records;
- planning and zoning restrictions;
- development authority permissions;
- land-use and access rights;
- carpet, built-up and plot area;
- physical condition and structural safety;
- utilities and services;
- possession status;
- proposed infrastructure;
- loan eligibility; and
- the final agreement and payment schedule.
No website badge, telephone statement, marketing brochure, blog, dashboard or chat should be treated as a substitute for a written title report and professional due diligence.
9. Broker2Broker Services
9.1 B2B connector
The Broker2Broker module allows professional Users to post:
- inventory;
- requirements;
- connection requests;
- collaboration proposals;
- brokerage terms; and
- related business information.
NMPD acts only as a technology and communication facilitator unless a separate written agreement states otherwise.
9.2 Professional responsibility
Broker2Broker Users must:
- maintain valid registrations where required;
- share only genuine and current inventory;
- obtain permission before circulating another personâs property or contact details;
- protect confidential information;
- disclose whether they hold a direct or indirect mandate;
- clearly record brokerage-sharing terms;
- comply with tax and invoicing requirements; and
- avoid bypassing or misrepresenting introductions.
9.3 No guarantee or commission adjudication
NMPD does not guarantee:
- exclusivity;
- lead quality;
- payment of commission;
- non-circumvention;
- deal closure;
- accuracy of another Brokerâs authority;
- availability of inventory; or
- performance by any participant.
Brokerage sharing, protected introductions and non-circumvention arrangements should be recorded separately in writing between the relevant parties.
Unless NMPD has signed a separate agreement accepting such responsibility, NMPD is not an arbitrator, collection agent or guarantor of brokerage disputes.
9.4 Confidentiality
Information marked confidential or reasonably understood as confidential must not be publicly redistributed or used outside the purpose for which it was shared.
NMPD may retain relevant communication and connection records for fraud prevention, dispute support and legal compliance.
10. Enquiries and Communication Consent
10.1 Enquiry sharing
When a User submits an Enquiry regarding a Listing, the User authorises NMPD to share relevant Enquiry information with:
- the Owner;
- the relevant Broker or Agent;
- the Developer or authorised representative;
- NMPDâs internal sales or support team; and
- a service provider specifically requested by the User.
The receiving party may contact the User regarding that Enquiry.
10.2 Requested communications
By submitting an Enquiry and providing contact details, the User expressly requests communications concerning:
- the selected property or project;
- similar properties reasonably connected to the requirement;
- site visits;
- price, availability or status updates;
- documentation;
- loan or transaction support requested by the User; and
- follow-up concerning the Enquiry.
Such communications may occur through telephone, email, SMS, WhatsApp, in-platform messages or push notifications.
10.3 Marketing consent
Marketing or promotional communications that are not necessary to answer an Enquiry will be sent only where permitted by law and, where required, based on a separate consent or opt-in.
Submitting an Enquiry does not give any party unlimited permission to send unrelated or indefinite promotional communication.
10.4 DND and telecom compliance
NMPD and commercial Users must comply with applicable TRAI and telecom commercial-communication requirements.
A Userâs Enquiry should not be treated as a blanket waiver of DND preferences. Commercial Users must use lawful communication channels, maintain required consent records and honour withdrawal and opt-out requests.
10.5 Opt-out
Users may withdraw promotional consent by:
- using an unsubscribe link;
- changing notification preferences;
- replying âSTOPâ where supported;
- contacting the sender; or
- contacting NMPD at [PRIVACY EMAIL].
Withdrawal of marketing consent will not prevent essential transaction, security, account or service communications.
11. Reviews and Ratings
Reviews must:
- reflect a genuine experience;
- be factually supportable;
- distinguish opinion from fact;
- avoid personal threats or abuse;
- avoid undisclosed paid promotion;
- not be posted in exchange for improper incentives;
- not be posted by competitors to manipulate ratings; and
- not disclose confidential or private information.
Users must not post:
- fabricated reviews;
- reviews about a transaction in which they had no involvement;
- defamatory allegations presented as established fact;
- extortionate reviews;
- multiple reviews through duplicate accounts; or
- reviews written by or on behalf of the reviewed party without disclosure.
We may request evidence of the interaction and may remove, restrict or label a review that appears false, unlawful, abusive, manipulated, irrelevant or unverifiable.
Publication of a review does not mean NMPD endorses its contents.
NMPD may provide the reviewed party an opportunity to respond but is not required to determine complex factual disputes between Users.
12. Courses and Educational Content
12.1 Nature of courses
Courses, videos, templates, guides and educational materials are provided for general learning.
They do not guarantee:
- employment;
- income;
- brokerage success;
- examination results;
- professional registration;
- deal closure;
- legal compliance; or
- investment returns.
12.2 Access licence
Course access is personal, limited, revocable, non-transferable and subject to the access period shown at purchase or enrolment.
Users must not:
- record, download or copy content except through authorised functionality;
- share credentials;
- resell course access;
- redistribute videos, templates or notes;
- conduct paid training using NMPD content;
- remove watermarks or copyright notices; or
- upload course materials to public platforms.
12.3 Paid courses and refunds
Where a course is paid, its price, taxes, access period and refund conditions will be displayed before purchase.
Unless the checkout page or Refund Policy provides otherwise:
- fees for digital content are non-refundable after substantial access has been provided;
- duplicate charges and confirmed failed transactions will be corrected;
- refunds required by applicable consumer law will be honoured; and
- no refund is due merely because a User did not complete the course or did not achieve a desired result.
The detailed Refund and Cancellation Policy should be published at [REFUND POLICY LINK] before paid courses are activated.
13. Calculators, Property Finder and Loan Services
EMI calculators, affordability tools, price estimates, market data, property recommendations and similar tools provide indicative results based on assumptions and available data.
Results may differ from:
- lender calculations;
- credit assessment;
- valuation reports;
- actual interest rates;
- applicable taxes and charges;
- insurance costs; and
- final transaction terms.
Such tools are not financial, investment, valuation, legal or tax advice.
13.1 Loan referrals
Where a User requests loan assistance, NMPD may introduce the User to a bank, NBFC, loan distributor or other provider.
The provider independently determines:
- eligibility;
- interest rate;
- fees;
- documentation;
- processing time;
- approval;
- disbursement; and
- final loan conditions.
NMPD does not guarantee approval and is not liable for a lenderâs decision or conduct.
Personal information will be shared with a loan provider only in accordance with the Privacy Policy and applicable consent requirements.
14. Fees, Brokerage and Payments
14.1 Platform fees
Certain basic features may be offered free of charge while other features may require:
- subscriptions;
- listing fees;
- advertising fees;
- lead fees;
- course fees;
- verification fees; or
- service charges.
Applicable charges will be disclosed before purchase or activation.
14.2 Brokerage
Publication of a Listing as âfreeâ or âzero brokerageâ applies only as expressly described on the relevant page.
It does not automatically mean:
- every transaction is brokerage-free;
- third-party Agents cannot charge lawful brokerage;
- NMPD will not charge for a separately requested professional service; or
- taxes and transaction costs are waived.
Brokerage and consultancy terms must be disclosed and agreed separately.
14.3 Offline payments
Unless an official NMPD checkout page expressly states otherwise, Users should not assume that a person requesting payment through a call, message or personal account is authorised to collect money for NMPD.
Users must verify payment instructions through official contact details.
NMPD is not responsible for payments made:
- directly between Users;
- to an unauthorised representative;
- through an unverified link;
- in cash without a receipt; or
- outside an official or separately documented arrangement.
14.4 Future payment gateway
Where an online payment gateway is introduced, payments may also be governed by the gateway providerâs terms and privacy policy.
15. User Conduct and Prohibited Uses
Users must not:
- post fake, unavailable, duplicate or bait Listings;
- state a false price merely to attract Enquiries;
- impersonate an Owner, Broker, Developer, employee or government authority;
- misrepresent RERA status, ownership, approvals or project stage;
- scrape, crawl, harvest, index or extract Platform data without written permission;
- copy Listings or photographs for use on another service without authorisation;
- send spam, bulk messages or unsolicited commercial communication;
- use Enquiry information for unrelated marketing;
- circumvent moderation, access controls, limits or account suspension;
- upload malware, harmful code or automated scripts;
- interfere with Platform security or availability;
- manipulate rankings, reviews, views or lead statistics;
- solicit illegal cash components or unlawful payments;
- promote benami, fraudulent, prohibited or unlawfully subdivided transactions;
- discriminate unlawfully;
- threaten, harass, stalk or abuse another User;
- publish private personal information without authority;
- use the Platform for money laundering, fraud or tax evasion;
- make false complaints or copyright notices;
- create databases from Platform Content;
- reverse engineer the Platform except where law expressly permits;
- falsely imply endorsement by NMPD; or
- use the Platform in violation of any applicable law.
16. Intellectual Property
16.1 NMPD property
Unless otherwise stated, NMPD or its licensors own the Platform and its original:
- name and logo;
- design and interface;
- software and code;
- databases and taxonomies;
- articles and guides;
- graphics and videos;
- reports and compilations;
- course content;
- verification systems; and
- trademarks and branding.
No ownership rights are transferred to Users.
16.2 Limited permission
NMPD grants Users a limited, revocable, non-exclusive and non-transferable permission to access the Platform for lawful personal or internal business use in accordance with these Terms.
16.3 User Content ownership
Users retain ownership of Content they lawfully own.
By submitting Content, the User grants NMPD a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to:
- host;
- store;
- reproduce;
- format;
- resize;
- compress;
- watermark;
- display;
- distribute;
- communicate;
- promote; and
- use that Content
to operate, moderate, market and improve the Platform and the relevant Listing or service.
This licence continues while the Content is active and for a reasonable archival, backup, dispute-resolution and promotional wind-down period after removal.
16.4 User warranties
The User confirms that granting this licence does not violate another personâs rights.
The User remains responsible for claims arising from unauthorised photographs, plans, logos, descriptions, videos or documents.
16.5 Copyright complaints
A rights holder may report alleged infringement to [LEGAL/GRIEVANCE EMAIL] with:
- identification of the protected work;
- identification of the disputed Content;
- proof of ownership or authority;
- contact details;
- a good-faith statement; and
- any legally required declaration.
We may remove or restrict Content while investigating a complaint.
17. Third-Party Services and Links
The Platform may integrate or link to services operated by third parties, including:
- Google sign-in and maps;
- Firebase authentication and notifications;
- Cloudinary or similar media hosting;
- Brevo, Nodemailer or similar email providers;
- analytics providers;
- map and location services;
- payment gateways;
- banks, NBFCs and loan providers;
- social and messaging platforms; and
- third-party websites.
Third-party services are governed by their own terms and privacy policies.
NMPD does not control and is not responsible for:
- third-party availability;
- external content;
- security practices;
- eligibility decisions;
- fees;
- representations; or
- independent services.
A link or integration does not by itself constitute endorsement.
18. Reporting, Grievances and Content Removal
Users may report:
- fake Listings;
- impersonation;
- unlawful content;
- intellectual-property infringement;
- privacy violations;
- abusive reviews;
- fraudulent activity; or
- security concerns
to [GRIEVANCE EMAIL].
Reports should include enough information to identify the Content and explain the issue.
Where applicable under Indian intermediary rules, NMPD will endeavour to acknowledge grievances within twenty-four hours and resolve them within the legally prescribed period, subject to the nature of the complaint, evidence, court orders and statutory exceptions.
We may preserve disputed Content and account records where necessary for investigation, legal compliance, fraud prevention or defence of claims.
19. Suspension, Termination and Account Deletion
19.1 Suspension
We may warn, restrict, suspend or terminate access where we reasonably believe that a User has:
- violated these Terms;
- created legal or security risk;
- submitted fraudulent information;
- repeatedly posted prohibited Content;
- failed verification;
- misused Enquiries;
- failed to pay lawful charges;
- attempted to circumvent restrictions; or
- exposed NMPD or other Users to harm.
Serious fraud, cybersecurity threats, impersonation or unlawful activity may result in immediate suspension without prior notice.
19.2 User-requested deletion
Users may request account deletion through available account settings or by contacting [PRIVACY EMAIL].
Unless immediate deletion is required by law, the account may first be placed into a soft-deleted or recovery state for thirty days.
During this period:
- the account will generally not be publicly accessible;
- restoration may be possible;
- active Listings may be removed or hidden; and
- necessary records may be retained.
After thirty days, the account will be scheduled for permanent deletion or anonymisation, subject to legal retention requirements.
Backup copies may take up to ninety additional days to cycle out of protected backup systems.
19.3 Information retained after deletion
We may retain limited information where reasonably necessary to:
- comply with law;
- maintain financial and tax records;
- prevent fraud and repeated abuse;
- enforce agreements;
- resolve disputes;
- establish or defend legal claims;
- comply with regulatory or court directions; or
- protect Users and the Platform.
Deletion of an account does not automatically cancel obligations arising before deletion.
20. Disclaimers
To the maximum extent permitted by law:
- the Platform is provided on an âas availableâ basis;
- we do not guarantee uninterrupted, error-free or secure operation;
- we do not guarantee Listing accuracy, availability, ownership, title, condition, price, return, legality or transaction completion;

- verification checks are limited and may not detect fraud;
- market data, price trends and projections may be incomplete or outdated;
- blogs and educational material are general information, not professional advice;
- photographs and maps may not accurately show boundaries, orientation or condition;
- distances and infrastructure timelines may be approximate;
- NMPD is not responsible for negotiations or representations made outside the Platform; and
- Users act on property and financial information at their own risk.
Nothing in these Terms excludes obligations that cannot legally be excluded.
21. Limitation of Liability
To the maximum extent permitted by applicable law, NMPD and its directors, employees, officers, affiliates and service providers will not be liable for indirect, incidental, special, punitive or consequential losses, including:
- loss of profit;
- loss of opportunity;
- loss of data;
- lost brokerage;
- failed negotiation;
- property-price movement;
- financing rejection;
- transaction delay;
- loss arising from a Userâs fraud;
- loss arising from third-party services; or
- reputational harm.
Where liability cannot lawfully be excluded, NMPDâs aggregate liability arising from a specific paid Platform service will not exceed the amount paid by the affected User to NMPD for that service during the twelve months preceding the event giving rise to the claim.
Where no fee was paid for the relevant service, aggregate liability will not exceed âš1,000, except where such a limitation is prohibited by law.
These limitations do not apply to liability that cannot be limited under applicable law, including liability arising from NMPDâs established fraud or wilful misconduct.
22. Indemnity
You agree, to the extent permitted by law, to defend, indemnify and hold harmless NMPD and its directors, employees, officers and affiliates from claims, losses, liabilities, penalties, costs and reasonable legal expenses arising from:
- your Listing or Content;
- your breach of these Terms;
- false ownership or authority claims;
- misleading property information;
- infringement of intellectual-property or privacy rights;
- RERA or regulatory non-compliance attributable to you;
- your communications with another User;
- your transaction, brokerage or commission dispute;
- your misuse of personal information;
- taxes, fees or charges payable by you; or
- unlawful or fraudulent conduct by you.
NMPD will provide reasonable notice of a material third-party claim where practicable.
23. Consumer Rights
Nothing in these Terms removes rights available to consumers under mandatory Indian consumer-protection law.
Where a clause conflicts with a non-waivable statutory right, the statutory right will prevail to the extent of the conflict.
24. Force Majeure
NMPD will not be responsible for delay or failure caused by circumstances beyond reasonable control, including:
- natural disasters;
- floods or severe weather;
- internet or telecommunications failure;
- power failure;
- cyberattack;
- government restriction;
- regulatory action;
- strikes;
- civil unrest;
- epidemic or pandemic;
- third-party hosting failure; or
- failure of an external service provider.
25. Governing Law and Dispute Resolution
These Terms are governed by the laws of India.
Subject to applicable consumer rights and statutory forums, courts of competent jurisdiction at Thane, Maharashtra will have jurisdiction over disputes arising from these Terms or the Platform.
For disputes involving a Broker, Developer, advertiser, service provider or other commercial User:
- the parties should first attempt good-faith resolution through written notice;
- if unresolved within thirty days, the dispute may be referred to arbitration where the parties have agreed to arbitration in a separate commercial agreement; and
- any arbitration clause will not restrict rights that cannot legally be waived.
Nothing prevents NMPD from seeking urgent injunctive relief for intellectual-property misuse, fraud, data misuse or security threats.
26. Changes to These Terms
We may update these Terms to reflect:
- changes in law;
- regulatory directions;
- new features;
- new payment or course services;
- security requirements; or
- business changes.
Material changes will be communicated through the Platform, email, account notice or another reasonable method.
The updated Terms will take effect on the stated effective date. Continued use after that date constitutes acceptance, except where fresh consent is legally required.
27. Severability and Waiver
If any provision is held invalid or unenforceable, the remaining provisions will remain effective.
Failure to enforce a provision on one occasion does not waive the right to enforce it later.
28. Assignment
Users may not transfer their rights or obligations under these Terms without written permission.
NMPD may transfer its rights and obligations as part of a merger, restructuring, acquisition, sale of business or transfer to an affiliate, subject to applicable law.
29. Entire Agreement
These Terms, the Privacy Policy, applicable payment or refund terms and any specific written service agreement constitute the agreement governing use of the Platform.
